1. Acceptance of Terms

By accessing or using GenModi ("the Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

GenModi is an AI solutions platform that allows users to create, share, purchase, and use AI solutions across multiple AI models and use cases.

2. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

4. Credits System

4.1 Purchasing Credits

• Credits are purchased at a rate of 100 credits per $1 USD
• No additional platform fee is charged on credit purchases
• Minimum purchase amount: $1 USD
• Maximum purchase amount: $1,000,000 USD

4.2 Credit Validity

• Purchased credits are valid for 365 days from the date of purchase
• Expired credits cannot be refunded or reinstated
• We will notify you before your credits expire

4.3 Credit Usage

• Credits are used to run AI solutions and generate content
• Different AI models and operations consume varying amounts of credits
• Image generation typically costs approximately 4 credits per image
• Credits are non-transferable between accounts
• Credits have no cash value and cannot be exchanged for money

4.4 Refunds

All credit purchases are final. We do not offer refunds except as required by law or in cases of technical errors on our part. If you believe you are entitled to a refund, please contact our support team.

5. Creator Program

5.1 Becoming a Creator

Users may apply to become Creators to publish and monetize their prompts on the Platform. Creator applications are subject to approval at our sole discretion.

5.2 Creator Responsibilities

As a Creator, you agree to:

• Create original content or have proper rights to submitted prompts
• Not infringe upon any third-party intellectual property rights
• Provide accurate descriptions and documentation for your prompts
• Comply with all applicable laws and these Terms
• Not create prompts that violate our content policies

5.3 Revenue Sharing

• Creators earn revenue when users execute their prompts
• Creators receive their set price for each prompt execution
• Users are charged: (Creator set price + Inference cost) × 1.35
• Example: If creator price is 200 credits and inference cost is 100 credits, the creator earns 200 credits, and the user is charged 405 credits ((200 + 100) × 1.35)
• Inference costs are paid by end users, not deducted from creator earnings
• Revenue share percentages are displayed in your Creator dashboard
• Minimum withdrawal threshold and payment terms apply
• We reserve the right to adjust revenue share terms with notice

5.4 Content Ownership

You retain ownership of your prompts. By publishing on GenModi, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and execute your prompts on the Platform.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Generate illegal, harmful, or abusive content
• Attempt to reverse engineer or exploit the Platform
• Use automated systems to access the Service without permission
• Impersonate others or misrepresent your affiliation
• Transmit viruses, malware, or other malicious code
• Harass, abuse, or harm other users
• Create content involving minors in inappropriate contexts
• Generate misleading deepfakes or misinformation

7. Generated Content

7.1 Ownership

You own the content you generate using the Service, subject to your compliance with these Terms and applicable laws.

7.2 License to Us

By generating content on the Platform, you grant us a limited license to store, process, and display that content as necessary to provide the Service.

7.3 Your Responsibility

You are solely responsible for your use of generated content. We are not liable for how you use, modify, or distribute content created through the Service.

8. Intellectual Property

The Service, including its design, features, code, and trademarks, is owned by GenModi and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

9. Third-Party AI Models

Our Service provides access to third-party AI models (such as OpenAI, Anthropic, Stability AI, etc.). Your use of these models is subject to their respective terms of service. We are not responsible for the availability, performance, or output of third-party AI models.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee:

• Uninterrupted or error-free service
• Accuracy or quality of AI-generated content
• Availability of specific AI models
• Security of your data, though we implement reasonable measures

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENMODI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless GenModi, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you create or publish on the Platform

13. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent activity
• Abusive or harmful behavior
• Non-payment or chargebacks
• Any reason at our sole discretion

You may terminate your account at any time through the settings page. Upon termination, unused credits may be forfeited.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GenModi operates, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law. You waive your right to participate in class action lawsuits.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
